History

On June 16, 2021, it was announced that EverArc Holdings Ltd. (“EverArc”) (LSE: EVRA) – a publicly listed acquisition company – would acquire the global Perimeter Solutions business from SK Capital Partners. On November 9, 2021, Perimeter was listed on the New York Stock Exchange (NYSE: PRM) as the next step on a journey toward becoming the world’s premiere fire safety business. That journey started nearly 60 years ago – and has become realized in the global Perimeter business today.

Perimeter Solutions was established in 2018 when SK Capital Partners purchased the business from Israel Chemicals, Ltd (ICL). While that may seem a brief time ago, our company’s roots in technology development for fire safety and oil additives stretch back over 50 years and span the globe.

Perimeter Solutions’ PHOS-CHEK^® brand of fire retardants and Class A foams were developed and brought to market by Monsanto in the early 1960s. The PHOS-CHEK brand belonged to Monsanto until 1997, when ownership was transferred to Solutia Inc. In 2000, Astaris LLC – a joint venture between Solutia and FMC – acquired the PHOS-CHEK business. In 2005, Astaris LLC was acquired by ICL and the PHOS-CHEK brand was assigned to ICL’s Performance Products division.

Throughout these changes in ownership, what is today’s Perimeter Solutions Fire Safety and Specialty Products businesses grew in depth and capability through a series of acquisitions. In 2007, FIRE-TROL^® retardants and firefighting foams were added to the product portfolio. In 2008, French-based BIOGEMA^® was acquired adding that company’s background in retardants, suppressants and firefighting services to the ICL Fire Safety business and expanding our footprint in Europe. In 2013, the phosphorus pentasulfide (P₂S₅) business of Thermphos International was acquired, creating a global footprint for that business.

Over the next five years, a major expansion in the Fire Safety group’s portfolio of fire suppressant technology was achieved via the acquisitions of Spain-based AUXQUIMIA^® and the global SOLBERG^® foam concentrate business. These acquisitions enhanced Perimeter Solutions’ manufacturing capabilities with additional state-of-the-art foam concentrate production facilities in Spain and the United States and expanded our footprint in Europe and Asia Pacific. They also established Perimeter Solutions as the global leader in fluorine-free fire suppressant foam technology.

In 2019, a group of Idaho, USA-based companies, including First Response Fire Rescue, River City Fabrication and H&S Transport, was acquired to bolster our fire management capabilities. Perimeter Solutions integrated these businesses into our existing manufacturing and service ecosystem to expand our technology and solutions offered in the suppression sector.

In 2020, Perimeter Solutions acquired biomaterials company LaderaTech. This acquisition brought the PHOS-CHEK FORTIFY^® products into our portfolio, enhancing our ability to provide ground-based prevention and protection fire safety solutions.

In 2021, the acquisition of Magnum Fire & Safety Systems broadened our offering of fire suppressant equipment systems and helped move us toward our goal of becoming a global integrator of comprehensive fire suppressant solutions.

The journey of Perimeter Solutions over these last 60 years has allowed us to develop and provide ‘Solutions that Save’ around the world. Today, Perimeter Solutions exists as a global leader in both the phosphorus pentasulfide business and comprehensive Fire Safety Solutions – with a global footprint and a reputation for innovative technology and service development.
